LICENSE AGREEMENT FOR USE WITH MICROCHIP PRODUCTS

IMPORTANT! THIS LICENSE AGREEMENT FOR USE WITH MICROCHIP TECHNOLOGY INCORPORATED
PRODUCTS (“AGREEMENT”) GOVERNS USE OF THE WOLFSSL, INC. SOFTWARE REFERNCED
BELOW. THIS AGREEMENT WILL BE LEGALLY BINDING WHEN YOU ACCEPT THIS AGREEMENT
AND USE THE SOFTWARE.

YOU REPRESENT THAT YOU HAVE AUTHORITY TO ENTER INTO THIS AGREEMENT ON BEHALF OF
YOUR COMPANY (OR OTHER LEGAL ENTITY). IF YOU DO NOT HAVE SUCH AUTHORITY, OR YOU
DO NOT AGREE WITH THIS AGREEMENT, DO NOT ACCEPT THIS AGREEMENT OR USE THE
SOFTWARE.

1. PARTIES TO THE LICENSE. This Agreement is between the customer accepting
this Agreement, on behalf of itself and its affiliated entities (“you”) and
WolfSSL Inc. (“WolfSSL”) and is effective as of the date accepted by you (the
“Effective Date”).

2. LICENSE.

A. GRANT. Subject to the restrictions set forth herein, WolfSSL grants you a
limited, royalty-free, non-exclusive, nonassignable, nontransferable right to
use, modify and distribute (i) the wolfSSL SSL/TLS Library, (ii) wolfMQTT
Client Library, (iii) wolfSSH SSH Library, (iv) wolfHSM, and (v) wolfBoot and
all related documentation (the “Product”) solely with the Microchip silicon
products and/or development tools with which any Product is integrated. You
will not (i) copy, modify, or create a derivative work of the Product (other
than as expressly permitted herein), (ii) reverse engineer, reverse assemble,
disassemble, or decompile any part of the Product, or (iii) use the Product to
develop a similar or competitive product or service. If you require a license
to other wolfSSL software products or use of the Product with other products or
services, you may request such licenses directly from wolfSSL via
licensing@wolfssl.com.

B. CONTRACTORS. Subject to the restrictions set forth herein, you may provide
the Products to a contractor to exercise the foregoing license grants solely on
your behalf, provided that any such contractor agrees to the terms of this
Agreement. You are responsible for the acts and omissions of your contractors;
a breach of this Agreement by a contractor is deemed a breach by you.

3. RESERVATION OF RIGHTS. You must retain all copyright notices in the Product.
The intellectual property and proprietary rights of whatever nature in the
Product and the associated documentation for the Product made available by
WolfSSL, including modifications and derivative works thereof, are and will
remain the exclusive property of WolfSSL or its suppliers, and nothing in this
Agreement should be construed as transferring any aspects of such rights to you
or any third party. If requested by wolfSSL, you will provide any modifications
or derivative works of the Product to WolfSSL and any such modifications or
derivative works incorporated by WolfSSL into the Products, will be licensed to
you under this Agreement. WolfSSL and its suppliers reserve any and all rights
not expressly granted in this Agreement. Except as expressly permitted herein,
you may not sell, assign, sublicense, lease, or otherwise transfer any part of
this license. The Product excludes any Product files modified by Microchip
Technology Incorporated (“Microchip”) specific for Microchip products that may
be provided in the download, and which may be licensed under separate terms
from Microchip.

4. FEEDBACK. You grant to WolfSSL a worldwide, royalty-free, non-exclusive,
perpetual, and irrevocable right to use Feedback for any purpose, without
attribution or contribution of any kind. “Feedback” means any input provided to
WolfSSL, in any manner, regarding the Product.

5. INDEMNIFICATION. You agree to indemnify, hold harmless, and defend WolfSSL,
its directors, officers, agents, and suppliers, from any third party claims,
including attorneys’ fees, that are brought against WolfSSL related to your use
of the Product.

6. TERMINATION. WolfSSL may terminate this Agreement immediately in the event
WolfSSL reasonably believes that the Product may be subject to a claim of
intellectual property infringement or trade secret misappropriation. WolfSSL
may terminate this Agreement in the event you breach this Agreement and fail to
remedy such breach within thirty (30) days following WolfSSL’s notice to you.
Unless terminated as set forth herein, the license rights in Section 2 of this
Agreement continue indefinitely. Additionally, the following sections will
survive termination or expiration of this Agreement: 3 - 10

7. NO WARRANTY. THE PRODUCT IS PROVIDED “AS IS” WITHOUT ANY WARRANTY OF ANY
KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED
WARRANTIES OF MERCHANTABILITY, NONINFRINGEMENT, TITLE, AND FITNESS FOR A
PARTICULAR PURPOSE. YOU ASSUME ALL RISKS WITH RESPECT TO ACCURACY, ADEQUACY,
QUALITY, RELIABILITY, AND PERFORMANCE OF THE PRODUCT. SOME JURISDICTIONS DO NOT
ALLOW LIMITATIONS ON DURATION OF IMPLIED WARRANTIES, SO THE ABOVE LIMITATION
MAY NOT APPLY TO YOU. THIS LIMITED WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS.
YOU MAY HAVE OTHER RIGHTS, DIFFERENT FROM THE LIMITED WARRANTY PROVIDED BY
WOLFSSL.

8. LIMITATIONS ON LIABILITY. IN NO EVENT WILL WOLFSSL OR ITS SUPPLIERS HAVE ANY
LIABILITY FOR CONSEQUENTIAL, RELIANCE, EXEMPLARY, SPECIAL, INDIRECT,
INCIDENTAL, OR PUNITIVE DAMAGES, INCLUDING (WITHOUT LIMITATION) ANY LOST
PROFIT, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF IT HAS BEEN ADVISED OF THE
POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL WOLFSSL’S CUMULATIVE, AGGREGATE
LIABILITY FOR ANY CLAIM ARISING IN CONNECTION WITH THIS AGREEMENT EXCEED
US$50.00.

9. U.S. GOVERNMENT RESTRICTED RIGHTS. WolfSSL software and documentation are
provided with restricted rights. Use, duplication, or disclosure by the
Government is subject to restrictions as set forth in FAR 52.227-14(g)(3) and
subparagraph (c)(1)(ii) of The Rights in Technical Data and Computer Software
clause at DFARS 252.227-7013.

10. GENERAL. Whenever possible, each provision of this Agreement must be
interpreted so as to be valid under applicable law. If any provision is
invalid, the remaining provisions remain enforceable. This Agreement
constitutes the entire agreement between the parties and supersedes all other
prior or contemporaneous communications between the parties (whether written or
oral) relating to the subject matter of this Agreement. Unless otherwise
specified in this Agreement, all notices will be in writing and will be mailed
(via registered or certified mail, return receipt requested), delivered by a
nationally recognized express courier service with the ability to track
shipments, or personally delivered to the other party at the address designated
by a party in in writing). All notices will be effective upon receipt. This
Agreement will be governed by the laws of the State of Washington, without
regard to the conflict of laws provisions thereof. In no event will either the
United Nations Convention on Contracts for the International Sale of Goods or
any adopted version of the Uniform Computer Information Transactions Act apply
to, or govern, this Agreement. The parties agree to the exclusive venue and
jurisdiction in the state and federal courts in Seattle, Washington. These
provisions will survive the termination or expiration of this Agreement.
