OPEN MUSIC LICENSE (OML)
SYNC LICENSE

Version 1.0 - Effective October 2025

OVERVIEW

This license grants rights to synchronize the musical work with visual media 
(film, TV, advertising, video games, online video, etc.). Payment is typically 
a negotiated flat fee based on your project's scope, budget, and distribution.

This license provides both Master Rights (the recording) and Sync Rights (the 
composition) in one agreement for complete clearance.

1. DEFINITIONS

"Work" means the musical composition and sound recording covered by this 
license.

"Creator" means the person or entity that created the Work.

"You" or "Licensee" means the person, company, or entity licensing the Work for 
synchronization.

"Project" means the specific audiovisual production identified in the License 
Execution Agreement.

"Sync" or "Synchronization" means using the Work in timed relation with visual 
images.

"License Fee" means the flat fee payment agreed upon for the rights granted.

"Term" means how long you can use the Work (e.g., perpetual, 5 years, etc.).

"Territory" means where you can distribute the Project (e.g., worldwide, North 
America, etc.).

"Media" means which platforms you can use (e.g., theatrical, streaming, social 
media, etc.).

2. RIGHTS GRANTED

You receive both Master Rights and Sync Rights in one license:

Master Rights - to use the sound recording:
• Use the recording as provided
• Reproduce it in your Project
• Distribute the Project containing the recording
• Publicly perform the recording as part of the Project
• Make technical adaptations (format conversion, compression, etc.)

Sync Rights - to use the musical composition:
• Synchronize the composition with visual images
• Reproduce the composition in your Project
• Distribute the Project containing the composition
• Publicly perform the composition as part of the Project

You can:
• Use the Work in your specified Project
• Distribute the Project in specified Media and Territory
• Edit the Work as needed for timing and technical requirements
• Use in promotional materials if specified in agreement

3. SCOPE LIMITATIONS

Rights are limited to what's specified in the License Execution Agreement:

• Project: Only the specific project identified (each new project needs a new 
  license)
• Term: Only for the duration specified (perpetual, or specific years)
• Territory: Only in geographical areas specified (worldwide, regional, etc.)
• Media: Only on platforms specified (theatrical, streaming, broadcast, etc.)
• Usage: As specified (featured, background, credits, promotional, etc.)

Use beyond these limits requires a new license or written amendment.

4. PAYMENT

Sync licenses use a flat fee structure. The License Fee is negotiated based on:

• Project type and budget
• How prominently the Work is used
• Term duration
• Territory coverage
• Media platforms
• Exclusivity (if any)

The specific License Fee and payment terms are set in the License Execution 
Agreement below.

Standard payment options:
• Full payment upon execution
• 50% upon execution, 50% before first use
• Custom schedule based on project milestones

Performance Royalties:
Creator retains rights to performance royalties through PROs (ASCAP, BMI, 
SESAC, etc.). These are separate from the License Fee. You must file accurate 
cue sheets with PROs documenting all uses of the Work in the Project.

5. TERM, TERRITORY, AND MEDIA

TERM OPTIONS:
• In Perpetuity: Rights granted forever with no expiration
• Fixed Term: Specified number of years (1, 3, 5, 10, etc.) from first use
• Conditional: Rights tied to specific conditions (festival circuit, initial 
  broadcast run, etc.)

Upon expiration of fixed or conditional terms, you must cease distribution or 
negotiate renewal.

TERRITORY OPTIONS:
• Worldwide: All territories globally
• Regional: Specific regions (North America, Europe, etc.)
• Limited: Specific countries or contexts

MEDIA OPTIONS:
• Theatrical (movie theaters)
• Broadcast Television (network, cable, syndication)
• Streaming (Netflix, Hulu, Amazon, Disney+, etc.)
• Social Media (YouTube, TikTok, Instagram, Facebook, etc.)
• Home Video (DVD, Blu-ray, digital download)
• Advertising (broadcast, digital, out-of-home)
• Video Games
• Corporate/Industrial
• Educational
• Web (websites, web series)
• All Media (unrestricted across all current and future platforms)

6. MODIFICATIONS AND EDITS

You can make these modifications:

Permitted:
• Edit length (cut, trim, loop)
• Adjust volume, EQ, compression
• Format conversions for different media
• Timing adjustments for synchronization

Requires Creator Approval:
• Altering lyrics or vocal content significantly
• Major musical rearrangement
• Use of isolated stems that substantially change the Work's character

7. ATTRIBUTION AND CREDITS

You must provide clear credit to the Creator.

Required Placement:
• Film/TV/Video: End credits under "Music" section, minimum 3 seconds, legible 
  text
• Advertising: End credits or as required by platform (minimum 2 seconds for 
  broadcast)
• Video Games: Credits screen or documentation
• Social Media: Video description
• All formats: Include in cue sheets filed with PROs

Credit Format:
"Music: [Work Title] by Radio Tom" or "[Work Title]" / "Written and Performed 
by Radio Tom"

License Reference (somewhere accessible, not necessarily on-screen):
"Licensed under OML-S" in documentation, cue sheets, or internal records

For major placements, Creator may request approval of credit placement (not to 
be unreasonably withheld).

8. CUE SHEETS AND PRO REPORTING

You must:
• Prepare accurate cue sheets for all broadcasts and public performances
• File cue sheets with appropriate PROs within 30 days of first broadcast
• Provide Creator with copy of cue sheets within 30 days
• Include: Project title, Work title, Creator name, PRO affiliation, usage 
  type, duration, timing

Cue Sheet Information Needed:
• Creator's legal name and PRO affiliation (provided in License Execution 
  Agreement)
• Publisher information (if applicable)
• Whether usage is featured, background, theme, visual vocal, etc.
• Exact duration and timing in Project

9. EXCLUSIVITY (Optional)

Default: Non-Exclusive - Creator can license the Work to others.

If negotiated, exclusivity options include:

• Category Exclusivity: Creator won't license for competing projects in 
  specified category (e.g., no other automotive ads)
• Project Exclusivity: Creator won't license for any other audiovisual projects 
  during exclusivity period
• Territory Exclusivity: Creator won't license within specified territory 
  during exclusivity period
• Total Exclusivity: Creator won't license to anyone else during exclusivity 
  period

Exclusivity must be specified in License Execution Agreement with defined start 
and end dates. Additional compensation typically required for exclusivity.

10. CONTENT RESTRICTIONS AND APPROVALS (Optional)

If specified in the agreement, Creator may restrict association with:
• Tobacco products
• Firearms/weapons
• Political campaigns
• Adult content
• Other specified categories

Approval Options:
• Automatic Approval: No Creator approval needed (default)
• Final Cut Approval: Creator approves final version before release (response 
  within 5 business days or deemed approved)
• Concept Approval: Creator approves script/storyboard before license 
  finalization

11. DELIVERY

Creator provides the Work in specified format:
• Standard: WAV or AIFF, 24-bit/48kHz, stereo
• Alternate versions if requested: instrumental, stems, custom edits, clean 
  versions
• Delivery method: WeTransfer, Dropbox, Google Drive, physical media, or FTP
• Timeline: Within 5 business days unless rush delivery requested

The Work must be free from technical defects and properly mixed/mastered for 
intended use.

12. REPRESENTATIONS AND WARRANTIES

Creator warrants:
• They own or control all master and sync rights
• The Work doesn't infringe third-party rights
• All samples and third-party elements (if any) are properly cleared
• They have authority to grant this license
• The Work doesn't contain defamatory or unlawful content

You warrant:
• You have authority to enter this agreement
• You'll comply with all applicable laws
• You'll provide accurate attribution and file proper cue sheets
• The Project won't defame or misrepresent the Creator
• You're responsible for clearing all other elements in the Project

13. INDEMNIFICATION

Creator indemnifies you against:
• Breach of Creator's warranties
• Claims that the Work infringes third-party rights
• Issues with samples or elements in the Work

You indemnify Creator against:
• Breach of your warranties
• The Project's production, distribution, or content (excluding claims solely 
  about the Work as provided)
• Modifications beyond permitted edits
• Failure to provide attribution or file cue sheets
• Use beyond licensed scope

Indemnification Process:
• Promptly notify other party of any claim
• Cooperate in defense
• Indemnifying party controls defense and settlement (subject to indemnified 
  party's approval if settlement affects their rights)

14. LIABILITY LIMITS

Creator's liability is limited to the total License Fee paid.

Neither party is liable for indirect, consequential, or punitive damages 
including lost profits, lost revenue, or business interruption.

Exceptions: Limits don't apply to indemnification obligations, willful 
misconduct, gross negligence, or IP violations.

15. TERMINATION

For Fixed or Conditional Term licenses:
• Rights expire at end of Term
• You have 30 days to remove Project from distribution
• Cannot manufacture new copies after wind-down period

For Breach:
• 30 days written notice to cure
• If not cured, breaching party's rights/obligations may be terminated
• Outstanding payments become immediately due

If You Breach:
• All rights cease immediately
• Stop all use and distribution
• Creator may seek injunctive relief

If Creator Breaches:
• You retain rights for original Term
• Entitled to refund of License Fee (or prorated portion)

Survival: Warranties, indemnification, liability limits, and dispute resolution 
survive termination.

16. DISPUTE RESOLUTION

Good faith negotiation for 30 days.

If that fails, mediation under AAA rules (costs split equally).

If mediation fails within 60 days, binding arbitration under AAA Commercial 
Arbitration Rules:
• One arbitrator (mutually agreed or selected per AAA rules)
• In Creator's jurisdiction unless otherwise agreed
• Decision is final and binding
• Each party pays own fees unless arbitrator awards to prevailing party

Either party may seek injunctive relief in court for unauthorized use, 
attribution violations, confidentiality breaches, or payment enforcement.

17. GENERAL PROVISIONS

Entire Agreement: This license plus License Execution Agreement is the complete 
agreement.

Amendment: Only by written agreement signed by both parties.

Assignment: You cannot assign without Creator consent, except to successor 
entity in merger/acquisition. Creator can assign payment rights with notice.

Severability: Invalid provisions struck; remaining provisions stay in effect.

Waiver: No waiver unless in writing.

Force Majeure: Neither party liable for failures due to circumstances beyond 
control.

Confidentiality: Both parties keep non-public information confidential.

Notices: Written to addresses in License Execution Agreement. Effective on 
email delivery or 3 days after certified mail.

Electronic Signatures: Valid and binding.
